BY ACCESSING, BROWSING, OR OTHERWISE USING ANY PORTION OF THE EPITOMEE® CAPSULE WEBSITE (THE “SITE”), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND, WITHOUT LIMITATION OR QUALIFICATION, BY THESE TERMS OF USE (THE “TERMS”). IF YOU DO NOT ACCEPT AND AGREE TO ALL OF THE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE SITE AND SHOULD EXIT IMMEDIATELY.

Epitomee Medical Ltd. (“Epitomee”) may revise these Terms at any time in its sole discretion. Any modifications are effective when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms constitutes your binding acceptance of, and agreement to be bound by, the revisions. If you do not agree to any modifications, you must immediately cease using the Site.

1.  Scope of the Site

The Site is an informational and educational resource about the Epitomee® Capsule, a prescription-only, drug-free support tool for weight management. Nothing on the Site is, or should be construed as, an offer to sell or a solicitation or promotion for any product or service where such activities are prohibited by law. Availability, indications, contraindications, dosages, instructions for use, labeling, and prescribing information vary by country and are subject to local regulatory requirements. Users are solely responsible for ensuring compliance with all applicable laws and regulations in their jurisdiction.

2.  No Medical Advice; NoPatient-Healthcare Professional Relationship

The Site does not provide medical advice. The Epitomee Capsule is available only by prescription from a duly licensed healthcare professional. Epitomee shall have no liability whatsoever for any access or use of the Site or its content from outside such jurisdictions, and users agree to indemnify and hold Epitomee harmless from and against any claims, damages, or liabilities arising out of or related to such access or use.

All content on the Site – including but not limited to text, graphics, logos, icons, images, audiovisual material, software, and compilations thereof – is owned or licensed by Epitomee and is protected by applicable copyright, trademark, patent, and other intellectual-property laws. EPITOMEE®, EPITOMEE CAPSULE, and related marks and logos are trademarks or registered trademarks of Epitomee. Except as expressly permitted under applicable law or under these Terms, no portion of the Site may be reproduced, distributed, displayed, performed, published, transmitted, modified, or used to create derivative works without Epitomee’s prior written consent. You may download or print individual pages of the Site for your personal, non-commercial, informational use only, provided that you do not remove or alter any copyright, trademark, or other proprietary notices.

6.  User Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. Without limiting the generality of the foregoing, you may not post, transmit, upload, or otherwise make available through or to the Site any content that:

• is unlawful, threatening, abusive, harassing, defamatory, libelous, obscene, indecent, inflammatory, pornographic, profane, violent, or otherwise objectionable;

• infringes or violates the intellectual-property, privacy, publicity, or other rights of any person or entity;

• contains viruses, worms, malware, or any other harmful code or component;

• constitutes unsolicited or unauthorized advertising, promotional materials, spam, chain letters, pyramid schemes, or any other form of solicitation; or

• violates any applicable local, national, or international law, regulation, or industry code.

Epitomee reserves the right, but has no obligation, to monitor, edit, refuse to post, or remove any user-generated content in its sole discretion. You remain solely responsible and liable for any content you submit or make available through the Site and for any consequences thereof.

Except for “Personal Data” (as defined in and governed by the Site’s Privacy Policy), any communication, information, or material that you transmit to the Site by electronic mail or otherwise – including questions, comments, suggestions, data, or the like – will be treated as non-confidential and non-proprietary. Epitomee and its affiliates are free to use, reproduce, disclose, publish, and otherwise exploit any such submissions for any purpose, without restriction and without compensation to you. By submitting such material, you represent and warrant that you have the lawful right to do so and that the material is free of any third-party proprietary or privacy claims.

Your submission of Personal Data to or through the Site is governed by the Site’s Privacy Policy, which is incorporated herein by reference. By using the Site, you consent to all actions taken by Epitomee with respect to your Personal Data in compliance with the Privacy Policy and applicable data protection laws.

Epitomee does not control, endorse, or assume any responsibility or liability for the content, privacy policies, practices, or any products, services, or information available on or through any third-party sites, including any third-party digital system for users to access healthcare services remotely via electronic communications. Accessing any such third-party website is at your own risk, and Epitomee expressly disclaims any and all liability arising from your use of such sites. You should review the terms and privacy policies applicable to those sites, which may differ from these Terms.

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, SOFTWARE, AND SERVICES MADE AVAILABLE THROUGH OR DESCRIBED ON THE SITE ARE PROVIDED “AS IS”, “AS AVAILABLE”, AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR FREEDOM FROM COMPUTER VIRUS. EPITOMEE DOES NOT WARRANT THAT THE SITE, OR ANY FUNCTIONS, CONTENT, OR MATERIALS THEREON, WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM EPITOMEE OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

11.  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EPITOMEE OR ITS AFFILIATES, LICENSORS, SUPPLIERS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR COMPUTER FAILURE OR MALFUNCTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR ANY CONTENT THEREON, EVEN IF EPITOMEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, AND TO THE EXTENT PERMITTED BY LAW, EPITOMEE’S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS, DAMAGES, LOSSES, OR CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED FIFTY U.S. DOLLARS (USD $50).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12.  Indemnification

You agree to indemnify, defend, and hold harmless Epitomee and its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your access to or use of the Site, including, without limitation, any user content you submit, post, transmit, or make available through the Site.

13.  Governing Law; Jurisdiction

These Terms and any dispute arising out of or relating to them or the Site shall be governed by, and construed in accordance with, the laws of the State of Israel, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the competent courts located in Tel Aviv-Yafo, Israel, for the resolution of any such dispute; provided, however, that Epitomee reserves the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual-property rights.

14.  Severability; Waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. No waiver by Epitomee of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

15.  Termination

Epitomee may terminate or suspend your access to all or part of the Site, without notice and in its sole discretion, for any conduct that Epitomee believes is in violation of these Terms or any applicable law or is otherwise harmful to the interests of another user, Epitomee, or its affiliates. The provisions of these Terms relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination shall so survive.

16.  Entire Agreement

These Terms, together with any other legal notices or terms posted on the Site (including the Privacy Policy), constitute the entire agreement between you and Epitomee with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Epitomee regarding the Site.
